Terms & Conditions
These Terms constitute a legally binding agreement between you and Fildtek. Please read them carefully before using our platform or property verification services.
1. Definitions
In these Terms, the following words and expressions have the meanings set out below:
“Fildtek”, “we”, “us”, “our”
Fildtek, the company providing verification and trust services, and the operator of this platform.
“Platform”
The Fildtek website and any related applications or services operated by Fildtek.
“User”, “you”, “your”
Any person who accesses or uses the Platform or its services, including buyers and property owners.
“Verification Package”
The tier of verification services purchased by a user, as described in Section 3.
“Verification Report”
The documented findings delivered to a user upon completion of a verification, subject to quality assurance approval.
“Escrow”
The holding of fees via Bachs Connect until verification is finalized and released, in accordance with these Terms.
“Inspector”
An independent field inspector engaged by Fildtek to perform on-site verification work.
“Refund Policy”
Fildtek's refund policy, incorporated into these Terms by reference and available at the refund policy page.
2. Acceptance of These Terms
These Terms constitute a legally binding agreement between you and Fildtek. Please read them carefully before using our platform or property verification services. By accessing or using the Platform or services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree to these Terms, you must not use or access the Platform or its services.
3. Description of Services
Fildtek is an independent verification and trust layer for Nigerian real estate. Fildtek does not buy, sell, or transfer properties — it verifies, documents, and reports so that a buyer can make an informed decision before committing funds. When you engage Fildtek to verify a property, we perform, as applicable to the Verification Package purchased:
Legal Document Verification
Authentication and legal review of title documents, including Certificate of Occupancy (C of O), Deed of Assignment, Survey Plan, Governor's Consent, Gazette entries, and other supporting ownership documents. Review of the chain of title and identification of any obvious defects, encumbrances, or irregularities.
Physical Site Inspection
On-site inspection to confirm the land physically exists and is where it is represented to be, including GPS location capture, boundary verification, structured photographic evidence, and identification of visible occupation, development, or encroachment.
Community / Neighbourhood Verification
Interviews with surrounding residents and neighbours where accessible, and enquiries about matters that may affect the property — including flood history, ownership legitimacy, and disputes, claims, or multiple-sale history. All findings are documented in the inspection report.
Buyer-Supplied Information
The buyer is required to complete a property information form detailing the property and any special verification requests. Fildtek's verification scope is defined by the information supplied and the requests made. Fildtek is not obligated to verify matters the buyer did not disclose or request.
4. User / Client Responsibilities
You are responsible for:
- Providing complete and accurate information about the property.
- Disclosing all known defects, disputes, or concerns at the time of the order.
- Providing access or coordinates necessary for inspection where applicable.
- Ensuring you have the right to engage our services in respect of the property.
Fildtek's findings are only as good as the information supplied. Incomplete or inaccurate information may limit the verification scope and is your responsibility.
5. Accuracy of Information
You agree that all information and documents you provide to Fildtek are true, accurate, and complete, and you have the lawful right to share them. Providing false information or fraudulent documents may result in termination of services, legal action, and reporting to the appropriate authorities.
6. What Fildtek Does NOT Do
Fildtek does not:
- Act as a law firm or provide legal advice or legal opinions.
- Execute or transfer legal ownership — ownership transfers are handled by licensed lawyers and state land registries.
- Provide a legal guarantee of ownership, title, or future value — our Verification Report is an evidentiary dossier, a record of findings.
- Guarantee that no undiscoverable defect, lien, or claim exists; verification is based on the documents and site conditions available and observable at the time of inspection.
7. Fees & Payment
All fees are charged in Nigerian Naira (NGN) and are payable as set out below:
- Fees are calculated as a percentage of the buyer-declared property valuation.
- Fees are payable in full, upfront, before verification begins.
- Funds are held in Escrow via Bachs Connect until the verification is finalized.
- Payment is made through our payment provider, Bachs Connect; we do not collect or store card details directly.
- Verification begins once payment is confirmed; failure to pay may delay or cancel your order.
- Refunds are granted only in the limited circumstances set out in our Refund Policy, which is incorporated into these Terms by reference.
8. Verification Process & Quality Assurance
Every verification is subject to our quality assurance process:
- Verification work may be performed by Fildtek personnel and/or independent Inspectors.
- All physical inspections and reports are subject to internal QC and Admin audit before finalization.
- QC reviews GPS data, photographic evidence, and report integrity to ensure findings are honest and accurate.
- Funds are released to Inspectors only after QC approval.
9. Report & Delivery
Fildtek delivers the Verification Report to you upon completion and QC approval. The report documents what was verified, how, and what was found. You may use the report for your own due diligence; it is provided for your use only and may not be republished without Fildtek's consent.
10. Term & Termination
These Terms apply from the time you first access or use the Platform until terminated.
- Fildtek may suspend or terminate your access or an order immediately if you breach these Terms, provide false or fraudulent documents, or fail to pay amounts due.
- You may cancel an order before work starts, subject to the Refund Policy.
- Upon termination, your right to use the services ceases, but any obligations that by their nature survive termination (including payment of amounts due, liability, and governing law) will continue to apply.
11. Service Limitations
Our verification services are subject to the following limitations:
- Geographic scope: our services are offered for properties located in Nigeria only.
- Verification is based on the documents and site conditions available and observable at the time of inspection.
- The Verification Report is a record of findings and is not a legal guarantee of ownership, title, or future value.
- Fildtek is not obligated to verify matters not disclosed or requested by you.
- The Verification Report is provided for your personal due diligence only and may not be republished without Fildtek's consent.
12. Force Majeure
Neither party shall be liable for any delay or failure to perform its obligations under these Terms where such delay or failure arises from events beyond its reasonable control, including:
- Natural disasters, including floods, earthquakes, and other severe weather.
- Acts of government, regulatory changes, or court orders.
- War, terrorism, civil unrest, or strikes.
- Pandemics, epidemics, or public health emergencies.
- Power failure, or failure of the internet, payment, or other third-party services.
13. Limitation of Liability
To the fullest extent permitted by law, Fildtek's aggregate liability under these Terms, whether in contract, tort, or otherwise, is limited to the verification fee paid for the relevant order.
- Fildtek is not liable for defects or issues that could not be observed at the time of inspection.
- Fildtek is not liable for information withheld by the buyer or seller, or for inaccuracies in documents not detectable through reasonable professional review.
- Fildtek is not liable for decisions you make based on the Verification Report.
- Fildtek is not liable for any indirect, incidental, special, or consequential damages, or loss of profits, even if advised of the possibility of such damages.
- To the fullest extent permitted by law, all warranties not expressly set out in these Terms, including implied warranties of merchantability and fitness for a particular purpose, are excluded.
14. Disputes
Any dispute first goes through Fildtek's internal resolution process. Unresolved disputes are referred to mediation under Nigerian law.
15. Governing Law & Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Nigeria.
16. Changes to These Terms
We may update these Terms periodically. We will indicate the effective date at the top of this page. Continued use of the Platform or services after changes constitutes acceptance of the revised Terms.
